Terms of Service
These terms govern your use of Rackflow. They describe what the service does, what it explicitly does not do, and the terms on which you may use it. Please read the screening-limitations section in particular, it is the most important part of this document.
Version 2026-08-28 · business use only
1. What Rackflow is, and what it is not
Rackflow is a pre-design site-screening tool for data-center development. It assembles public infrastructure data, utility service territories, transmission and substation locations, retail rates, grid emissions, and related datasets, and returns a screening estimate for a location, together with a draft utility-information packet you can adapt.
Rackflow is not an engineering service, a utility, a broker, or a provider of professional advice. It does not confirm power availability, reserve capacity, or negotiate with any utility on your behalf. It is an information tool that helps you decide which sites are worth a real capacity conversation.
2. Accounts and eligibility
Rackflow is offered for business and professional use only. By creating an account you represent that you are using it in the course of a business or profession, that you are at least 18, and that the information you provide is accurate. You are responsible for activity under your account and for keeping your credentials secure. Accounts are for a single organization's use and may not be shared with third parties outside your organization.
3. Acceptable use
You agree not to:
- Automatically scrape, harvest, or bulk-extract screening results or any derived data from the service, whether by script, headless browser, or other automated means.
- Resell, redistribute, sublicense, or commercially exploit derived data obtained from Rackflow, including screening tiers, scores, or compiled infrastructure attributes, as a standalone product or feed.
- Circumvent rate limits, access controls, or the entitlement tiers that govern lookups and packet generation.
- Use the service to violate any law, infringe a third party's rights, or misrepresent a Rackflow output as an official utility or engineering determination.
We may suspend or terminate access for conduct that breaches this section or that threatens the integrity of the service or its data sources.
4. Intellectual property
Rackflow owns the platform: the software, the scoring model, the interface, and the compiled datasets and derived values it produces, along with all associated intellectual-property rights. We grant you a limited, non-exclusive, non-transferable right to use the service for your internal business purposes under these terms.
You own your inputs: the site designs you configure, the addresses and coordinates you screen, and the projects you save. You grant us only the limited license needed to operate the service for you, to process a lookup, store your saved projects, and generate your packets. We do not claim ownership of your designs or site data.
5. Screening limitations, no professional services
- Outputs are pre-design screening estimates built from public data. They are informational and are intended only to help you prioritize which sites merit further, professional investigation.
- Outputs are not engineering determinations. Nothing produced by Rackflow is prepared under the responsible charge of a licensed professional engineer, and nothing here is a professional engineering opinion, a stamped document, or a substitute for one.
- No output is a representation about actual utility capacity. Proximity to transmission or a substation indicates physical plausibility only. It says nothing about whether capacity is actually available, and it is not a commitment by any utility.
- Only the serving utility can determine available service.Available capacity, interconnection cost, and timeline are established solely through the utility's own study process. Treat every Rackflow result as a hypothesis to test in that process, not as an answer.
You are solely responsible for decisions you make using the service. Capital, siting, and contractual decisions must be validated through licensed professionals and the applicable utility before you rely on them.
6. Customer-generated documents
The utility-information packet is a draft prepared for you to review, edit, sign, and send under your own name. It is your document. Rackflow does not transmit it, does not contact any utility, is not a party to any resulting communication or negotiation, and makes no representation to any utility on your behalf.
You are responsible for reviewing and correcting the packet before you use it, and for any statements you make to a utility using it. The accuracy of what you send, under your name, is yours to verify.
7. Disclaimer of warranties
The service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that outputs are accurate, complete, current, or error-free, or that the public data sources we depend on are themselves accurate or continuously available. Public datasets change, move, and lapse; results reflect the data as ingested at a point in time.
8. Limitation of liability
To the maximum extent permitted by law, Rackflow will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost opportunities, or capital losses, arising from your use of, or inability to use, the service, even if advised of the possibility. Our aggregate liability for any claim relating to the service is limited to the amount you paid for the service in the twelve months preceding the claim, or, where the service was provided at no charge, to USD $100.
9. Indemnification
You agree to indemnify and hold harmless Rackflow and its personnel from any claim, loss, or expense (including reasonable legal fees) arising out of your use of the service, your breach of these terms, a document you generated and sent, or your violation of any law or third-party right.
10. Termination
You may stop using the service and delete your account at any time from your account settings. We may suspend or terminate access if you breach these terms or to protect the service or its data sources. Provisions that by their nature should survive, intellectual property, disclaimers, limitation of liability, and indemnification, survive termination.
11. Governing law
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, and any dispute will be resolved in the state or federal courts located there. (Jurisdiction to be confirmed with counsel.)
12. Changes to these terms
We may update these terms. When we make a material change we will bump the version and ask you to accept again through an in-app notice; the current version and date are shown at the top of this page. Continued use after a change, once accepted, constitutes agreement to the updated terms.
